From Inside the Regulator to the Heart of the Market… A Journey that Shaped the Vision of "Hosny & Partners"
Financial markets operate within a delicate space that combines regulation and innovation. The regulator works to protect the financial system and promote integrity and transparency, while the market moves at a rapid pace seeking opportunities, developing business models, and responding to investor demands and economic changes. In this space, mutual understanding between the regulator and the market becomes a necessity, not a luxury.
The more precise companies' and investors' understanding of regulatory requirements is, the more efficient and sustainable their decisions become. Conversely, the more the market reality is present in the minds of legal and regulatory practitioners, the more practical and applicable the solutions become. This conviction was not formed through study alone, but through a professional journey spanning more than seventeen years within the financial regulatory system, followed by practical experience within the market from a different perspective—a journey that shaped my vision of the role I offer today through Hosny & Partners.
A Professional Journey Starting from Incorporation and Licensing
My journey began as a researcher in the Central Administration of Incorporation and Licensing at the Capital Market Authority, prior to the merger of the three regulatory authorities (the Capital Market Authority, the Insurance Regulatory Authority, and the Mortgage Finance Authority). There, I participated in incorporating and licensing securities companies and investment funds, reviewing contracts and articles of association, and handling the legal and regulatory requirements for non-banking financial activities. This phase established my understanding of the relationship between legal texts and practical application, and between licensing requirements and the reality of companies seeking to operate within a regulated market.
With the merger of the three authorities, I participated in establishing the Central Administration of Compliance and was among the first researchers in audit and investigation work, until I assumed the responsibility of General Manager of Criminal Prosecution. This phase placed me before the most sensitive aspect of the system: analyzing facts, evaluating evidence, and handling files that could lead to legal and criminal proceedings.
From here, a clear conviction took root: the best way to handle regulatory risks is prevention before a violation occurs, not addressing it after it happens.
Protecting the Market to Understanding Its Needs
The goal within the regulatory system was not merely to apply rules, but to protect market integrity and promote compliance. Over time, it became clear that regulatory compliance is not a burden on companies, but an essential element for business sustainability, investor protection, and building trust.
However, achieving this goal requires a deeper understanding of market needs. A company may have a legitimate business model but not know the best legal way to execute it. An investor may make a decision that seems natural from their perspective but carries unclear regulatory implications. A contract may be valid but require a different treatment to comply with regulatory requirements.
This is where the value of expertise that combines law, understanding of the regulatory environment, and market reality becomes evident. The true value appears when the rule and the objective can be combined to reach an applicable solution that complies with the regulatory framework.
Regulatory Independence… An Indispensable Responsibility
Among the milestones I cherish during my work at the financial regulator is my participation in the work of the constituent assembly to draft Egypt's constitution, and the associated consolidation of the constitutional status of the Financial Regulatory Authority (FRA) as an independent body. I also participated in defending the independence of the Authority in a matter regarding the applicability of the Civil Service Law to its employees, which resulted in resorting to the administrative judiciary.
These experiences confirmed that the independence of regulatory bodies is not just an organizational matter, but a guarantee for the regulator to perform its role efficiently and objectively. I still believe that market strength does not conflict with regulatory strength; a strong market needs strong regulation, and effective regulation needs a market that understands and complies with its rules.
The Moment of Realization… The Need for a Bridge Between Law and Reality
Over the years, it became clear that many challenges are not related to the absence of rules, but to the lack of clarity on how to apply them to practical facts. The market moves fast, business models evolve, financial products change, and companies face daily decisions that require a precise understanding of legal and regulatory requirements.
On the other hand, regulatory rules have objectives and boundaries that cannot be bypassed simply because some solutions seem suitable from an investment perspective. Between the two sides, there is a need for someone who can translate investment needs into a legal and regulatory solution compatible with the regulatory framework. Here, I realized that the role of a specialized consultant is not to answer the question "Is this allowed?" but to answer a more important question: "If the goal is legitimate, what is the correct legal and regulatory path to achieve it?"
A Step to the Other Side… and Experience Within the Market
After years within the Authority, I transitioned to practicing legal work from within the market, working for a year within a modern and promising law firm.
This experience completed the picture; I saw firsthand the challenges companies face when dealing with regulatory requirements, the difficulties that arise when turning an investment idea into an applicable legal structure, and the need for consultations that look for what is possible and how to execute it in a sound and compliant manner.
From here, the conviction turned into a practical project… a project I wanted to build on the ground.
And From Here… The Idea of "Hosny & Partners" Was Born
The establishment of the firm came as a natural extension of this journey. Our goal is not to provide traditional legal consultations, but to build a specialized practice that combines law, regulation, compliance, and an understanding of the practical reality of the market. We help companies and investors understand requirements before making decisions, not after a problem occurs. We look for the correct legal path within the rules, not around them.
We believe that a legal advisor in financial fields must understand texts and regulations, the nature of the business, the business model, the client's needs, and the practical implications of any legal or regulatory decision.
What Do We Offer?
The firm's services stem from this vision and include:
- Incorporating and licensing companies and financial entities in accordance with the requirements of the investment idea to be implemented.
- Restructuring in compliance with legal and regulatory frameworks.
- Drafting and reviewing contracts from an integrated legal and regulatory perspective.
- Due diligence, taking into account legal and regulatory risks.
- Compliance advisory services for regulatory requirements for all companies practicing any non-banking financial activities.
- Qualifying companies for listing on the Egyptian Exchange (EGX).
- Managing mergers and acquisitions (M&A) files in a legally sound manner.
- Professional communication with regulatory authorities.
- Managing legal and regulatory risks and preventing violations before they turn into crises.
- Translating market needs into applicable legal solutions that comply with regulatory requirements.
Our philosophy is based on understanding the full picture: the goal, the legal framework, the risks, and the practical, executable solution.
Prevention Before Violation
The true value of legal consultation does not appear when a problem occurs, but before it. It lies in designing the correct legal structure, drafting the contract while considering its regulatory implications, making the investment decision after understanding its legal consequences, and adjusting internal procedures before a remark turns into a violation.
Legal and regulatory prevention is more effective and less costly than addressing a violation after it occurs, and this is one of the core principles upon which the firm is built: to be present before the problem, not just after it.
From Here the Dialogue Begins
This article is not just an introduction to the firm, but a space for professional dialogue on the relationship between law, the market, and regulation, in light of rapid developments in financial markets and services. In upcoming articles, I will address topics touching upon this daily relationship, from understanding regulatory requirements, to risk prevention, to designing business models, to the impact of regulatory decisions on companies and investors, to the future of financial regulation in Egypt.
A Final Word
After more than seventeen years within the regulator, followed by practical experience within the market, I realized that the journey was not a transition between two sides, but a discovery of the space where I could offer my expertise more effectively. I learned from the regulator the importance of the rule and precision of application, and from the market the importance of the goal and the needs of companies and investors.
From here came the idea of Hosny & Partners: a legal practice that understands both the text and reality, seeks to manage risks rather than just identify them, strives for prevention before the problem, and believes that market strength does not conflict with regulatory strength, and that compliance is the foundation of trust and sustainability.
This is not the end of a journey… but the beginning of a new phase in which we create legal solutions that serve reality and open the correct path within the rules.
